These Terms and Conditions (“Terms”) govern your access to and use of vilsmarts.com and related online account, consultation, project, document-upload, appointment, and payment features operated by VILSMART Enterprises LLC (“VILSMART,” “we,” “us,” or “our”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
1. Website Purpose
The Website provides information about VILSMART’s services and allows users to create accounts, request consultations or quotes, communicate about potential or active projects, upload materials, schedule appointments, and manage certain project or payment information. Website content is general information and may be changed without notice.
2. No Service Engagement Until Accepted
Submitting a form, creating an account, requesting an appointment, uploading information, or receiving an automated confirmation does not by itself create a professional-services relationship or obligate VILSMART to accept work. A service engagement begins only when VILSMART accepts the engagement through a written proposal, statement of work, service agreement, order confirmation, or other written authorization.
If a separate agreement conflicts with these Terms regarding a specific project, the separate agreement controls for that project.
3. Accounts and Security
- Provide accurate, current, and complete information and update it when necessary.
- Keep login credentials confidential and do not allow unauthorized persons to use your account.
- Use a strong, unique password and reasonable device and network security.
- Notify VILSMART promptly if you suspect unauthorized access or misuse.
- You are responsible for activity performed through your account to the extent permitted by law.
We may require email verification, multifactor authentication, password resets, or other safeguards. We may restrict or suspend access when reasonably necessary to protect users, systems, or legal rights.
4. User Content and Uploads
You retain ownership of content you submit or upload. You grant VILSMART a nonexclusive, limited license to host, store, copy, transmit, display internally, modify, and otherwise process that content only as reasonably necessary to operate the Website, evaluate or provide requested services, collaborate with authorized personnel, maintain records, protect the parties, and comply with law.
You represent that you have the rights and permissions necessary to submit the content and that its use as contemplated will not violate law, confidentiality duties, privacy rights, intellectual-property rights, or contractual obligations.
You must not upload or transmit:
- Malware, ransomware, corrupted files, malicious code, or content intended to disrupt or compromise systems.
- Illegal, fraudulent, threatening, defamatory, exploitative, obscene, or unlawfully discriminatory material.
- Content that infringes intellectual-property, privacy, publicity, confidentiality, or other rights.
- Credentials, encryption keys, complete payment-card numbers, or highly sensitive information unless VILSMART specifically requests it through an approved secure method.
- Content unrelated to a legitimate inquiry, account, or authorized project.
VILSMART may quarantine, reject, restrict, or remove content that presents security, legal, or operational risk. Maintain independent copies of your files; the Website is not a permanent storage or backup service.
5. Acceptable Use
You may not attempt to gain unauthorized access; probe or bypass security; scrape or harvest information; impersonate another person; interfere with the Website; use automated tools in a manner that burdens the service; reverse engineer protected components except where law permits; or use the Website to violate applicable law or the rights of others.
6. Quotes, Fees, Payments, and Cancellations
Prices shown on the Website or in preliminary communications are estimates unless expressly identified as binding. Final scope, fees, deposits, schedules, expenses, taxes, payment milestones, cancellation terms, refund terms, and deliverables will be stated in the applicable proposal, invoice, statement of work, or service agreement.
Payments may be processed by Stripe or another disclosed payment provider. Your use of a payment provider may also be subject to that provider’s terms. VILSMART does not guarantee that every payment method will always be available. Except as required by law or stated in a governing agreement, payments for completed work, incurred expenses, deposits committed to scheduled work, and third-party purchases may be nonrefundable.
7. Customer Responsibilities
You are responsible for timely access, accurate instructions, authorized credentials, approvals, backups, licenses, content, equipment, workspace safety, and other cooperation reasonably required for a project. Delays, additional work, or losses caused by incomplete, inaccurate, late, or unauthorized customer-provided information may affect schedule, price, or results as provided in the applicable agreement.
8. Third-Party Products and Services
VILSMART may recommend, configure, link to, or help you obtain third-party hardware, software, hosting, domains, cloud platforms, payment services, and other products. Third parties control their products, availability, security, pricing, warranties, licenses, data practices, and terms. Unless a written agreement expressly states otherwise, VILSMART is not the manufacturer, publisher, or guarantor of third-party products or services.
9. Intellectual Property
The Website, including its branding, design, text, graphics, software, and original materials, is owned by or licensed to VILSMART and is protected by applicable law. You may use the Website for legitimate personal or business evaluation of VILSMART’s services. You may not reproduce, distribute, modify, sell, or exploit Website content without written permission, except as law permits.
Ownership and license rights for project deliverables will be governed by the applicable written project agreement. No transfer of project intellectual property occurs merely because information is displayed or exchanged through the Website.
10. No Regulated Professional Advice Through General Website Content
General Website content does not constitute legal, tax, accounting, investment, medical, or other regulated professional advice. Any specialized service is subject to a separate written scope and, where applicable, delivery by an appropriately qualified or licensed professional. Do not act or refrain from acting on general Website content as a substitute for advice tailored to your circumstances.
11. Disclaimers
To the fullest extent permitted by law, the Website is provided on an “as available” basis. We do not warrant uninterrupted or error-free operation, permanent availability of uploaded content, or that Website information will meet every user’s needs. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
12. Limitation of Liability
To the fullest extent permitted by applicable law, VILSMART will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of or inability to use the public Website, including loss of data, profits, business opportunity, or goodwill. This limitation does not apply where prohibited by law and does not replace liability terms contained in an applicable signed service agreement.
13. Suspension and Termination
We may suspend or terminate Website access when reasonably necessary because of suspected fraud, security risk, unlawful activity, material violation of these Terms, nonpayment under an applicable agreement, or protection of users and systems. You may request account closure by contacting us. Provisions that by their nature should survive termination—including ownership, payment, disclaimers, limitations, and dispute provisions—will survive.
14. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Unless a separate written agreement provides otherwise, legal proceedings concerning these Terms or the Website shall be brought in a court of competent jurisdiction serving Hampden County, Massachusetts, subject to applicable law.
15. Changes to These Terms
We may revise these Terms as the Website, services, or law changes. The revised version will be posted with an updated date. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law. Material changes may receive additional notice when appropriate.
